Successful international expansion depends as much on the quality of the opportunities as on that of the partners. ICARUS INVESTMENT identifies, assesses and brings together stakeholders likely to contribute to a market entry, an acquisition, a distribution arrangement or a strategic alliance, using an approach based on market knowledge and the reliability of established relationships.
Entering a foreign market often requires the support of a partner with local knowledge, a commercial or institutional network, and complementary resources.
ICARUS INVESTMENT assists in identifying and establishing contact with partners likely to meet the client’s objectives: local businesses, distributors, investors or technology providers.
However, the quality of a business match depends on the quality of the checks carried out beforehand. This research may therefore be accompanied by a process of qualification and due diligence, focusing in particular on the financial situation, background, reputation and environment of the prospective partner.
As part of a joint venture, we also provide guidance on structuring the relationship: capital contributions, governance, the composition of the board, decision-making mechanisms and the protection of the various parties’ interests.
An international acquisition requires not only the alignment of economic interests, but also of business cultures and negotiating practices, which can sometimes be very different.
We can assist in identifying acquisition targets, including off-market opportunities, or merger partners that align with the client’s strategic objectives.
Our role as an intermediary also helps to facilitate communication during the various stages of negotiation. In international dealings, understanding the other party’s intentions, decision-making process and customary practices can be just as crucial as the financial terms of the transaction.
As the project progresses, we can coordinate the various parties involved — lawyers, auditors and local tax advisers — to ensure continuity between the initial discussions, the letter of intent and the completion of the transaction.
To develop a market, it is essential to be able to rely on partners capable of implementing the sales strategy at a local level.
We seek out and select distributors who have the necessary sales, logistical and relationship-building resources for the relevant market.
ICARUS INVESTMENT can also identify contract manufacturers or OEM partners likely to meet international quality standards as well as the criteria set by the client.
This intermediary role can be complemented by coordination with stakeholders in the supply chain, in particular international freight forwarders and customs agents, in order to facilitate the movement of goods.
Building a business relationship is only worthwhile if the interests of the parties and the intermediary are clearly defined.
We provide support in drawing up the agreements governing these relationships: a Non-circumvention and confidentiality agreements (NCNDAs), commission and brokerage agreements, territorial clauses, exclusivity and performance criteria.
The aim is to minimise areas of uncertainty, safeguard the relationships established and clearly define the economic terms of the intermediation.
The analysis may also cover withholding tax on dividends, interest or royalties, as well as obligations relating to indirect taxes, in particular VAT or GST.
The challenge is to take these factors into account right from the project’s planning stage, rather than having to deal with the consequences later on.
Our aim: to build an international infrastructure that is not only legally recognised, but also capable of operating effectively and sustainably.
